ExpertPI Platform Terms of Service.

Effective Date: December 15, 2025

This User Agreement and Terms of Service (the "Agreement") is a binding contract between you ("you" or "User") and PIRMA Technologies Inc. DBA ExpertPI Network ("ExpertPI," "we," "us," or "our"). It governs your access to and use of ExpertPI's websites, applications, and related services (collectively, the "Services").

By creating an account, clicking an acceptance button, or using the Services, you confirm that you have read, understand, and agree to be bound by this Agreement, as well as our Privacy Policy and any additional policies or guidelines we post within the Services (collectively, the "Policies"). If you do not agree, do not use the Services.

Agreement to Terms:

By accessing, browsing, or utilizing the Services, you acknowledge and agree to be bound by this Agreement. If you do not agree, we kindly ask that you refrain from using the Services.

01ExpertPI Accounts

Summary: You must register for an account to access certain features, and you are responsible for keeping your account information accurate and secure.

1.1 Registration

To access certain portions of the Services, you must create an account (an "Account"). We may approve or decline any registration or request to add an Account type for any lawful reason.

1.2 Account Eligibility

You represent that you are at least 18 years old (or the age of majority in your jurisdiction) and that you have the legal capacity to enter into this Agreement. You agree to use the Services only in compliance with applicable laws and regulations.

1.3 Account Profile

You agree that the information you provide in your Account and profile is true, accurate, and complete, and you will keep it current. Experts are solely responsible for the accuracy of licenses, credentials, insurance information, and service descriptions displayed in their profiles.

1.4 Account Types

The Services may support different Account types, including Client, Expert, and Agency accounts. Some features may be limited based on Account type and verification status.

1.5 Account Permissions

If you create or join an Agency account, you are responsible for controlling access and permissions for any users you authorize. You are responsible for all activity conducted through your Account, including by anyone you authorize.

1.6 Identity and Location Verification

We may offer or require verification steps (such as identity checks, license checks, or location confirmation). Verification is intended to improve trust, but it is not a guarantee of performance, legality of any assignment, or suitability for a particular purpose.

1.7 Usernames and Passwords

You are responsible for maintaining the confidentiality of your username and password and for all activities that occur under your Account. Notify us immediately if you suspect unauthorized access.

02Purpose of ExpertPI

Summary: ExpertPI provides a marketplace and tools to help Clients connect with Experts, but ExpertPI is not a party to service engagements between Users.

2.1 Relationship with ExpertPI

ExpertPI provides a platform that allows Clients to identify, communicate with, and engage Experts or Agencies for investigative, digital forensics, and related professional services. ExpertPI does not perform investigative or forensic services, does not supervise Experts, and is not a party to any Service Contract between Users.

2.2 Taxes and Benefits

You are solely responsible for determining and paying any taxes, withholdings, or other governmental assessments arising from your use of the Services or any Service Contract. ExpertPI does not provide employment benefits, workers' compensation, unemployment insurance, or similar benefits to Experts.

2.3 Marketplace Feedback and User Content

The Services may include reviews, ratings, or other feedback systems. Feedback reflects the opinions and experiences of Users and may not be accurate or complete. ExpertPI does not verify feedback and does not guarantee outcomes based on feedback or profile information.

2.4 User Content and AI Tools

The Services may offer tools that help summarize content, suggest categories, or assist with drafting or organizing information, which may include automated or AI-assisted features. Any such tools are provided for convenience only. You remain responsible for the accuracy, legality, and appropriateness of your content and decisions.

03Contractual Relationship Between Client and Expert

Summary: Clients and Experts contract directly with each other. ExpertPI is not responsible for the work performed or the results of any engagement.

3.1 Service Contracts

When a Client engages an Expert or Agency, the Client and Expert/Agency enter into a direct contract (a "Service Contract"). Users are responsible for defining scope, fees, deadlines, deliverables, confidentiality obligations, and compliance requirements. ExpertPI is not a party to any Service Contract and does not guarantee performance, outcomes, or legal compliance of services performed by Users.

You acknowledge that some services may be regulated by licensing laws, professional standards, court rules, protective orders, privacy laws, and other legal requirements. Users are solely responsible for complying with all requirements applicable to their activities.

3.2 Disputes Among Users

Disputes between Clients and Experts (including disputes regarding quality, scope, payment, refunds, chargebacks, deadlines, or deliverables) are between the Users. ExpertPI may, but is not required to, provide tools or support to facilitate communication or dispute resolution.

04Worker Classification and No Employment Relationship

Summary: Experts are independent professionals. Nothing in the Services creates an employment or agency relationship with ExpertPI.

4.1 Worker Classification

Experts and Agencies are independent contractors or independent businesses (as applicable) and are not employees of ExpertPI. Clients are not employees of ExpertPI. Users are solely responsible for their own business operations, staffing, insurance, tools, and expenses.

4.2 No Employment, Agency, or Partnership

Nothing in this Agreement creates any partnership, joint venture, agency, or employment relationship between you and ExpertPI. Experts are not authorized to bind ExpertPI or act on ExpertPI's behalf.

05ExpertPI Fees

Summary: ExpertPI currently charges subscription fees only. We do not collect or process payments for services performed by Experts.

5.1 Subscription Fees

ExpertPI may offer paid subscription plans for Experts or Agencies. Subscription benefits, pricing, and features are described within the Services. Subscriptions may renew automatically unless cancelled in accordance with the cancellation instructions provided in the Services.

Unless required by law, subscription fees are non-refundable and are charged in advance for the subscription period. If you cancel, you will continue to have access until the end of the current paid period, unless otherwise stated in the Services.

5.2 Taxes

Subscription fees may be subject to sales, use, VAT, or similar taxes depending on your location. You are responsible for any taxes applicable to your purchase of subscriptions, except taxes on ExpertPI's income.

5.3 Changes to Fees

We may change subscription pricing or plan features from time to time. Any changes will apply prospectively and will be communicated through the Services or by other reasonable notice.

06Payment Terms and No Escrow

Summary: Clients must pay Experts directly. ExpertPI does not provide escrow and is not responsible for payment collection or enforcement.

6.1 Direct Payment Between Users

ExpertPI does not currently provide escrow services and does not collect or process payments for Service Contracts. Clients must pay Experts/Agencies directly under the terms of the Service Contract. ExpertPI is not responsible for invoicing, collections, payment disputes, or enforcement of payment obligations.

6.2 Non-Payment and Collections

If a Client fails to pay an Expert/Agency, the Expert/Agency is responsible for pursuing any remedies available under the Service Contract and applicable law. ExpertPI has no obligation to assist with collections, but may provide limited account-level actions if required for platform integrity.

6.3 Chargebacks and Refunds

Because payments for Service Contracts are made directly between Users, any refunds or chargebacks are handled between the Client and Expert/Agency (and any payment processor they use). ExpertPI is not responsible for processing refunds related to Service Contracts.

07Use of the Services

Summary: Use the Services lawfully and respectfully. Do not misuse the platform or violate confidentiality or privacy obligations.

7.1 Acceptable Use

You agree not to misuse the Services. You will not: (a) violate any law or regulation; (b) infringe intellectual property or privacy rights; (c) upload malware or attempt unauthorized access; (d) scrape or harvest data without permission; (e) use the Services to request or perform illegal investigations or unlawful surveillance; or (f) interfere with the operation of the Services.

7.2 Communications; Messaging

The Services may provide messaging or communication tools. You consent to receive communications from ExpertPI electronically, including service announcements, notices, and administrative messages. You are responsible for the content of your communications with other Users and for complying with confidentiality obligations.

7.3 Third-Party Services

The Services may integrate or link to third-party services (such as mapping, identity verification, hosting, or analytics providers). Your use of third-party services is subject to the third party's terms, and ExpertPI is not responsible for third-party services.

08Intellectual Property and User Content

Summary: ExpertPI owns the platform and its content. You own your User Content, but you grant ExpertPI a license to host and display it to operate the Services.

8.1 ExpertPI IP

The Services, including software, design, trademarks, logos, and content provided by ExpertPI, are owned by ExpertPI or its licensors and are protected by intellectual property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, or create derivative works from the Services.

8.2 User Content License

You retain ownership of content you submit to the Services ("User Content"). You grant ExpertPI a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting only), display, and distribute your User Content solely to operate, improve, and provide the Services and to comply with law.

You represent that you have all rights necessary to submit your User Content and that it does not violate any law, court order, protective order, confidentiality obligation, or third-party rights.

8.3 DMCA and IP Complaints

If you believe content on the Services infringes your intellectual property rights, you may contact us with a notice that includes sufficient information to identify the work and the allegedly infringing material. We may remove content and take other actions as required by law and our Policies.

09Privacy, Security, and Confidentiality

Summary: Protect sensitive information. ExpertPI provides tools, but you are responsible for lawful sharing, confidentiality, and security of information you upload.

9.1 Privacy

Our Privacy Policy explains how we collect, use, and share information. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

9.2 Security

We use reasonable safeguards designed to protect the Services, but no system is perfectly secure. You are responsible for protecting your Account credentials, devices, and any sensitive information you choose to upload or share.

9.3 Confidentiality; Sensitive Information

Users may exchange sensitive information, including attorney-client materials, investigative information, personal data, or confidential business records. You agree to share only information you have the right to disclose and only with appropriate permissions. ExpertPI is not responsible for unauthorized disclosure by Users.

If your matter requires chain-of-custody handling or formal evidence management, you are responsible for following appropriate procedures. Any platform tools are not a substitute for legal advice, court rules, or professional standards.

10Disclaimers and Limitation of Liability

Summary: The Services are provided as-is. ExpertPI is not liable for disputes, outcomes, or losses arising from User engagements.

10.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPERTPI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPERTPI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EXPERTPI'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE TOTAL SUBSCRIPTION FEES YOU PAID TO EXPERTPI IN THE SIX (6) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

10.3 Release

To the maximum extent permitted by law, you release ExpertPI from claims, demands, and damages arising out of or related to disputes between Users, including disputes over payment, performance, scope, deliverables, or communications.

11Suspension, Enforcement, and Reporting

Summary: We may suspend or terminate access for violations. We may cooperate with lawful requests and respond to reports of misuse.

11.1 Enforcement

We may investigate suspected violations of this Agreement or our Policies and may suspend or terminate Accounts, remove content, or take other actions we deem appropriate to protect the Services and Users.

11.2 Reporting and Cooperation

You may report suspected misuse or illegal activity through the Services or by contacting us. We may cooperate with law enforcement or comply with legal process as required by law.

12Indemnification

Summary: If your actions cause claims against ExpertPI, you agree to defend and reimburse us.

You agree to indemnify, defend, and hold harmless ExpertPI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your User Content; (c) your violation of this Agreement or Policies; or (d) your violation of any law or third-party right.

13Agreement Term and Termination

Summary: You can stop using the Services at any time. We can terminate or suspend accounts for violations or risk.

13.1 Termination

You may close your Account at any time by following instructions within the Services. We may suspend or terminate your Account or access to the Services at any time for violations, suspected fraud, security risks, legal compliance, or other lawful reasons.

13.2 Account Data on Closure

We may retain certain Account information and User Content as required by law, for legitimate business purposes, or as described in our Privacy Policy. Users are responsible for retaining copies of their records and Work Product.

13.3 Survival

Sections that by their nature should survive termination will survive, including Sections 8, 10, 12, 14, 15, and 16.

14Disputes Between You and ExpertPI

Summary: Most disputes can be solved informally. If not, you and ExpertPI agree to resolve disputes through AAA arbitration with a class action waiver, subject to limited exceptions.

14.1 Dispute Process, Arbitration, and Scope

Except as provided below, any dispute, claim, or controversy arising out of or relating to this Agreement or the Services (a "Dispute") will be resolved by binding arbitration administered by the American Arbitration Association ("AAA"). This arbitration agreement applies to all Disputes between you and ExpertPI, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory.

Either party may bring a claim in small claims court if the claim qualifies and remains in small claims court, or may seek injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights.

14.2 Choice of Law

This Agreement and any Dispute are governed by the laws of the State of Florida, without regard to conflict-of-law principles.

14.3 Informal Dispute Resolution

Before initiating arbitration, you and ExpertPI agree to attempt to resolve the Dispute informally. You must send a written notice describing the Dispute and the relief sought to ExpertPI at the address in Section 15.9. If the Dispute is not resolved within thirty (30) days after the notice is received, either party may commence arbitration.

14.4 Binding Arbitration and Class Action/Jury Trial Waiver

Arbitration will be administered by the AAA under its applicable rules. If you are an individual using the Services primarily for personal purposes, the AAA Consumer Arbitration Rules will apply; otherwise, the AAA Commercial Arbitration Rules will apply, unless the parties agree otherwise.

The arbitration will take place in Fort Lauderdale, Florida, unless the parties agree to a different location or to conduct the arbitration by video, telephone, or written submissions where permitted.

CLASS ACTION WAIVER:

You and ExpertPI agree that each may bring Disputes against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate claims or preside over any form of class or representative proceeding.

JURY TRIAL WAIVER:

You and ExpertPI waive any constitutional and statutory rights to sue in court and to have a trial in front of a judge or jury, except as provided in this Section 14.

15General

Summary: Standard legal terms about how this Agreement works, including updates, assignment, and electronic records.

15.1 Entire Agreement

This Agreement and the Policies constitute the entire agreement between you and ExpertPI regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals.

15.2 Modifications; Waiver

We may update this Agreement from time to time by posting an updated version and updating the Effective Date. Your continued use of the Services after the Effective Date of an updated Agreement constitutes acceptance. Failure to enforce any provision is not a waiver.

15.3 Assignability

You may not assign this Agreement without ExpertPI's prior written consent. ExpertPI may assign this Agreement in connection with a merger, acquisition, reorganization, or sale of assets.

15.4 Severability; Interpretation

If any provision of this Agreement is held unenforceable, the remaining provisions will remain in full force and effect. Headings are for convenience only and do not affect interpretation.

15.5 Force Majeure

ExpertPI is not liable for delays or failures in performance resulting from events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or hosting failures, or governmental actions.

15.6 Prevailing Language and Location

This Agreement is written in English. If we provide a translation, the English version controls to the extent permitted by law. ExpertPI is located in Florida, United States.

15.7 Access of the Services Outside the United States

If you access the Services from outside the United States, you are responsible for compliance with local laws. The Services may not be available in all jurisdictions.

15.8 Consent to Use Electronic Records

You consent to the use of electronic signatures, electronic delivery of notices, and electronic records in connection with this Agreement and your use of the Services.

16Definitions

In this Agreement:

"Agency" means an Expert account that represents a firm or multiple professionals.

"Client" means a User who posts or seeks to obtain services from an Expert or Agency.

"Expert" means a User who offers professional services, including private investigation, digital forensics, forensic accounting, or related services.

"Policies" means ExpertPI's Privacy Policy and any other policies or guidelines referenced in the Services.

"Service Contract" means the agreement formed directly between a Client and an Expert/Agency for a Case or Project.

"Services" means ExpertPI's websites, applications, and related services.

"User" means any person or entity that accesses or uses the Services, including Clients, Experts, and Agencies.

"User Content" means any content or materials a User submits, posts, uploads, or transmits through the Services, including profiles, reviews, messages, documents, images, and files.
